Company Formations

Yes there is no restriction to this — just make sure you also appoint a separate secretary.

A company director is involved in day to day business, they can make
decisions in the company and must attend AGMs. Certain parties and
persons are ineligible to hold office as a company director, such as:

  • a body corporate or an unincorporated body of persons;
  • a person who is under the age of 18 years
  • an undischarged bankrupt
  • the statutory auditor of the company;
  • a person disqualified from acting as a director by the Courts.

Yes, you are required to have a registered office address. Ireland Incorporated can provide this for you if you do not have access to one.

Once you choose your package and submit the required info, Ireland Incorporated prepares your statutory forms. Just sign and return them, and we’ll handle the CRO filing — your company will be set up in no time.

A sole trader operates under a business structure, where the individual is personally responsible for all debts and obligations. In contrast, a limited company is a distinct legal entity that provides limited liability protection to its shareholders.

No, anyone can set up an entity in Ireland once permitted under Company Law. However those who are resident in non EEA state will likely need a bond put in place.

Legal & Compliance

You’ll need to keep accurate financial records, minutes of meetings, Statutory Registers, a copy of your constitution, your certificate of incorporation and the beneficial ownership register. These are important for compliance and audits.

The B1 form is used to file your company’s annual return with the CRO. It’s due each year depending on your annual return date (ARD)


Yes, all companies must file annual returns with the CRO. Missing a deadline can lead to late filing fees, loss of audit exemption, and even involuntary strike-off.

Yes, every company needs a constitution. It outlines the rules for how the company is run and includes key information like its name, objectives, and internal governance. If you choose to set up with us you will have the benefit of a bespoke preapproved constitution.

The Companies Registration Office (CRO) is Ireland’s official body for registering companies and maintaining company records. They handle company incorporations, annual returns, and changes to company details.

Tax & Revenue

Yes but the Company must register as an employer with Revenue and deduct PAYE, USC and PRSI on the salary. It is important that payroll is ran and reported to Revenue before a payment is made as a result of real time reporting. 

Corporation Tax is a tax on the companies profits whereas PAYE is the obligation on a company to withhold taxes (PAYE, USC & PRSI) on remuneration to directors/employees and remit it to Revenue.

If the company is expected to have a turnover exceeding the VAT thresholds there is a requirement to register. There are different threshold for goods and for services. Consider also if there will be supplies outside Ireland and the different obligations that may arise. If the Company acquires services from abroad they will also be required to register for VAT

Depending on the companies activities, not only does Corporation Tax apply but also consider registering for PREM if there are directors/employees and VAT.

Banking & Operations

Yes, you may use your home address once located in the state. We also offer a Registered Office Service.

Each Bank will have its own requirements but often you will need; Companies details, Certificate of Incorporation, Registration with Register of Beneficial Ownership (RBO), Photo ID and Proof of Address

No, generally you will need a company number to set up a business bank account.
